1. Introduction

These Terms and Conditions govern the use of the opus.dev website and the provision of web development services. By accessing our website or engaging our services, you agree to be bound by these terms.

opus.dev operates from the United Kingdom. These terms are governed by English law.

2. Definitions

  • "We," "Us," "Our" refers to opus.dev
  • "You," "Client" refers to the person or company engaging our services
  • "Services" refers to web design, development, and related services
  • "Website" refers to the opus.dev website
  • "Project" refers to the specific work agreed upon

3. Services

We provide web design and development services including but not limited to:

  • Website design and development
  • E-commerce solutions
  • Website maintenance
  • SEO optimisation
  • Responsive design

Specific deliverables, timelines, and costs will be outlined in a separate project proposal or agreement.

4. Quotations and Pricing

  • All quotations are valid for 30 days unless otherwise stated
  • Prices are quoted in GBP (£) and are exclusive of VAT unless stated
  • Additional work outside the original scope will be quoted separately
  • We reserve the right to adjust prices for significant scope changes

5. Payment Terms

  • A deposit of 50% is required before work commences
  • The remaining 50% is due upon project completion, before final files are handed over
  • Payment is due within 14 days of invoice date
  • Late payments may incur interest at 8% above the Bank of England base rate (Late Payment of Commercial Debts Act 1998)
  • We accept bank transfer and PayPal

6. Project Timeline

  • Estimated timelines will be provided in the project proposal
  • Timelines depend on timely provision of content, feedback, and approvals from the client
  • Delays caused by the client may result in adjusted deadlines
  • We will communicate any delays from our side as soon as possible

7. Client Responsibilities

You agree to:

  • Provide all necessary content, images, and materials in a timely manner
  • Ensure you have rights to use all provided content
  • Provide feedback and approvals within agreed timeframes
  • Designate a single point of contact for communication
  • Pay invoices according to agreed terms

8. Intellectual Property

  • Upon full payment, you will own the final website design and code created specifically for your project
  • We retain ownership of any pre-existing frameworks, templates, or code libraries used
  • We reserve the right to display the completed work in our portfolio unless otherwise agreed in writing
  • Third-party assets (fonts, images, plugins) remain subject to their respective licences

9. Revisions

  • Projects typically include 2 rounds of revisions at each major stage
  • Additional revisions may be charged at our standard hourly rate
  • Revision requests should be consolidated and provided in writing

10. Hosting and Domains

  • We can recommend hosting and domain providers but are not responsible for third-party service issues
  • Domain registration and hosting costs are separate from our development fees
  • Clients are responsible for maintaining their hosting and domain renewals

11. Website Maintenance

  • Maintenance packages are available as a separate service
  • Without a maintenance package, updates and fixes after launch will be quoted separately
  • We are not responsible for issues arising from client modifications or third-party interventions

12. Cancellation and Refunds

  • If you cancel before work begins, the deposit is refundable minus a 10% administration fee
  • If you cancel after work has begun, you will be charged for work completed to date
  • Completed work and deliverables to date will be provided upon payment
  • We reserve the right to cancel a project with 14 days notice, refunding any payments for undelivered work

13. Limitation of Liability

  • We shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the total fees paid for the project
  • We are not liable for any loss of profits, data, or business opportunities
  • We are not responsible for issues with third-party services (hosting, domains, etc.)

14. Warranties

  • We warrant that our work will be of professional quality and match agreed specifications
  • We provide a 30-day warranty period after launch to fix any bugs or issues
  • This warranty does not cover issues arising from client modifications or third-party services

15. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives the termination of our working relationship.

16. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, or government actions.

17. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Changes to Terms

We may update these Terms and Conditions from time to time. Changes will be posted on this page. Continued use of our services constitutes acceptance of updated terms.
